Terms & Conditions

Last Updated: 21 August 2026

These Terms are a draft prepared for legal review. They have not been reviewed by a qualified Australian legal practitioner.

1. About Surplu and acceptance of these Terms

Surplu is a business software service that helps trade and service businesses understand the profitability of their jobs. It brings together project information, income and expense transactions, labour and timesheet data, and reporting, so a business can see what each job is actually making.

By creating an account or using Surplu (“the Service”), you agree to these Terms. If you are agreeing on behalf of a business, you confirm you are authorised to bind that business, and “you” means that business.

2. Licence and permitted use

Subject to these Terms and to your subscription remaining current, we grant you a non-exclusive, non-transferable right to use Surplu for your legitimate business purposes. This includes use by your employees, contractors, bookkeeper and accountant who you authorise to access your organisation.

Surplu is commercial business software. Nothing in these Terms restricts you to personal or non-commercial use.

3. Accounts, organisations and authorised users

Data in Surplu belongs to an organisation. Users are granted access to an organisation through a membership record controlled by Surplu, and each user only sees data for organisations they are a member of.

An organisation owner may invite others (for example an accountant) and may revoke that access.

You are responsible for:

  • who you invite into your organisation and what they can see;
  • keeping account credentials secure and not sharing logins between people;
  • promptly removing access for people who should no longer have it;
  • activity that occurs under accounts in your organisation.

Please tell us promptly if you believe an account has been accessed without authorisation.

4. What Surplu does — and importantly, what it does not do

Surplu helps you attribute costs and income to jobs and reports on the resulting profitability. Where you connect an accounting system, Surplu may import transaction data and use it for job allocation, cost attribution, profitability reporting and related business insights.

Surplu does not perform bank reconciliation, and does not keep your accounting records. If you use Xero, Xero remains your accounting system of record. Reconciling bank lines happens in Xero and cannot be done through Surplu. Marking a transaction as belonging to a job in Surplu is a separate activity from reconciling it in your accounting system, and does not change your accounting records.

Surplu is not accounting, bookkeeping, tax, legal or financial advice. Figures produced by Surplu — including profitability, margin, labour cost, overhead and any GST or BAS-related figures — are estimates derived from the data available to it and from settings you control.

You remain responsible for:

  • reconciliation and the accuracy of your accounting records;
  • BAS, tax and any other statutory lodgements;
  • checking that transactions have been allocated to the correct jobs;
  • checking that profitability and labour figures are right before relying on them for pricing, invoicing or any other decision;
  • obtaining your own professional advice.

5. Your data

As between you and us, you own your business data. That includes your projects, transactions, invoices and quotes, budgets, employee and timesheet records, job allocations, and data imported from services you connect.

You grant us permission to host, process, transmit and display that data as reasonably necessary to provide the Service to you, to support you, and to keep the Service secure and working.

Where you enter or import personal information about other people — most commonly employees, including names, hours worked, timesheets and labour allocations — you are responsible for ensuring you are entitled to provide that information and to have it processed through Surplu.

You can export transaction data to CSV from within the application. If you need help extracting a broader set of your data, contact us through Help & Support and we will assist where we reasonably can.

On termination, see clause 12 for what happens to access and data.

6. Subscriptions, trials and billing

Access to Surplu depends on an active trial or paid subscription. Subscription status, plan and any feature limits are determined and recorded by us on the server, and cannot be changed from within the application by a customer.

Trials run for a set period. When a trial ends without a paid subscription, access to most of the application is restricted until a subscription is taken out, although you will retain access to billing and settings screens.

Where a paid subscription is taken out, payment is handled by our third-party payment provider. We do not receive or store your full card details. Plans may include limits such as the number of active jobs; those limits are described in the application at the time you subscribe.

You may cancel at any time. On cancellation or expiry, access to paid functionality ends. Except where required by law or agreed by us in writing, fees already paid are not refunded.

Pricing and plan inclusions are as shown in the application. We may change pricing or plan inclusions on reasonable notice.

7. Third-party services

Surplu relies on, and can connect to, services operated by others. These currently include our hosting and application platform provider, an authentication provider, a payment provider, an email delivery provider, and — where you choose to connect it — Xero.

Those services are governed by their own terms and privacy policies, and their availability is outside our control. Connecting a third-party service is your choice, and you are responsible for your relationship with that provider. We are not responsible for a third-party service being unavailable, changing, or ceasing to support an integration.

8. Availability and changes to the Service

We aim to keep Surplu available and working well, but we do not guarantee uninterrupted or error-free access. The Service may be unavailable during maintenance, during incidents, or because of an outage at a provider we depend on.

We may add, change or remove features. Where a change materially reduces core functionality you rely on, we will make reasonable efforts to give notice.

9. Acceptable use

You must not:

  • access, or attempt to access, data belonging to another organisation or customer;
  • probe, scan or test the security of the Service except with our written permission;
  • upload or transmit malicious code, or interfere with the operation or integrity of the Service;
  • use the Service for anything unlawful, or to store or process data you have no right to;
  • share credentials so that people who have not been granted access can use the Service;
  • use automated means to extract data at a scale that degrades the Service for others;
  • resell, sublicense or make the Service available to third parties except as expressly permitted.

10. Intellectual property

We own the Surplu application, including its software, design, interface and branding, and all associated intellectual property rights. These Terms grant you a right to use the Service, not any ownership of it.

You retain ownership of your data. You must not copy, modify, reverse engineer, decompile or create derivative works from the Service, except to the extent that restriction is not permitted by law.

If you give us feedback or suggestions, we may use them to improve the Service without obligation to you.

11. Disclaimers and liability

Nothing in these Terms excludes, restricts or modifies any right, guarantee or remedy that cannot lawfully be excluded, restricted or modified under applicable law, including the Australian Consumer Law. Where a statutory guarantee applies and we are permitted to limit our liability for breach of it, our liability is limited to resupplying the Service or paying the cost of having it resupplied.

Subject to the paragraph above, and to the extent permitted by law:

  • the Service is provided on an “as is” basis, and we do not warrant that it will be uninterrupted, error-free, or that figures it produces will be accurate or fit for a particular purpose;
  • we are not liable for loss arising from your reliance on figures produced by the Service without independent verification, from incorrect or incomplete data entered or imported, from decisions made on the basis of the Service, or from the acts, omissions or unavailability of a third-party service;
  • we are not liable for indirect or consequential loss, or for loss of profits, revenue, goodwill or data.

Draft note for legal review: no monetary cap on liability has been specified. Whether a cap is appropriate, and at what level, should be settled by a qualified legal practitioner.

12. Suspension and termination

You may stop using the Service and cancel your subscription at any time.

We may suspend or terminate access where you materially breach these Terms, where the Service is being misused, where there is a genuine security concern, or where required by law. Where practical and appropriate, we will give notice and an opportunity to remedy the issue first.

After termination, access to the Service ends. The application includes a facility to delete an account and associated organisation records; the extent of deletion depends on the functionality available at the time, and some data may persist in backups or where we are required to retain it. If you need a copy of your data, export it before terminating, or contact us through Help & Support.

13. Changes to these Terms

We may update these Terms from time to time. The “Last Updated” date above shows when they last changed. Continuing to use the Service after a change means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of Australia. You and we submit to the jurisdiction of the Australian courts.

Draft note for legal review: a specific State or Territory should be named here, based on where the Surplu operating entity is established.

15. Contact

If you have questions about these Terms, contact us through the Help & Support section of the application.
